Terms of Service

Effective date: 10 October 2026

These Terms of Service ("Terms") govern access to and use of the Anakalice School Management platform (the "Platform"), a multi-tenant school management software service operated by Anakalice Digital ("Anakalice", "we", "us", or "our"). The Platform is offered as a subscription service through our website at anakalicedigital.com and through a dedicated subdomain provisioned for each subscribing school in the form <school>.anakalicedigital.com.

By subscribing to, accessing, or using the Platform, the school and the individuals who use it on its behalf ("you", "your", or the "School") agree to these Terms. If you do not agree, do not use the Platform.

1. Definitions

  • Platform: the Anakalice School Management software, including all features, subdomains, and related services we provide.
  • School: the educational institution that subscribes to the Platform and is the account holder.
  • Administrator: a person the School authorises to manage its account, users, and settings.
  • Authorised User: any person the School permits to access the Platform, including staff, parents or guardians, and students.
  • School Data: all data the School or its Authorised Users submit to or generate on the Platform, including records of students (who are minors), parents or guardians, and staff.
  • Term: a school term. The Platform bills on a per-term basis, and there are three terms in a school year.
  • Subscription Plan: the pricing tier the School selects, as described in Section 4.

2. Eligibility and authority

2.1 The Platform is intended for use by schools and educational institutions. You may only subscribe if you are a registered or recognised school, or a person duly authorised to act for one.

2.2 The person who creates the account represents that they are at least 18 years old and are authorised to bind the School to these Terms.

2.3 Students who are minors may be given access by the School as Authorised Users. Their access is managed by the School, not by Anakalice. The School is responsible for all activity carried out under its account.

3. Accounts and Administrator responsibility

3.1 Account creation. When the School subscribes, we provision a dedicated subdomain and an Administrator account.

3.2 Administrator responsibility. The School, acting through its Administrators, is responsible for:

  • creating, managing, and removing Authorised User accounts;
  • setting appropriate access levels for staff, parents or guardians, and students;
  • keeping login credentials confidential and instructing all Authorised Users to do the same;
  • all activity that occurs under its account and subdomain.

3.3 Credential security. You must not share login credentials between people. Each Authorised User should have their own account. You must notify us promptly if you believe any credential has been compromised.

3.4 Accuracy. You agree to provide accurate account and billing information and to keep it up to date.

4. Subscription Plans and student-limit tiers

4.1 The Platform is offered in the following plans, billed per term. There are three terms in a school year.

PlanPrice per termStudent limit
EssentialNGN 75,000Up to 200 students
ProfessionalNGN 125,000Up to 500 students
EnterpriseNGN 200,000Up to 1,000 students

4.2 Student limit. The student limit is the maximum number of active student records your plan supports. If your student count grows beyond your plan's limit, you must upgrade to the appropriate plan.

4.3 Above 1,000 students and bespoke needs. Schools with more than 1,000 students, or schools that need bespoke configuration, require a separate custom deployment offering. Pricing and terms for a custom deployment are agreed separately in writing.

4.4 Taxes. Prices are stated exclusive of any applicable taxes or levies, which are the School's responsibility where they apply.

4.5 Price changes. We may change plan pricing. We will give reasonable advance notice of any price change, and a change will take effect from your next term's renewal, not during a term you have already paid for.

5. Billing, renewals, and non-payment

5.1 Per-term billing. Subscriptions are billed per term. Each payment covers access to the Platform for one school term for the plan you selected.

5.2 Renewals. Access continues from one term to the next when the subscription fee for the new term is paid. We will communicate renewal timing and amounts before each term.

5.3 Non-payment and suspension. If a term's subscription fee is not paid by the due date, we may suspend the School's access to the Platform after reasonable notice. Suspension restricts access; it does not by itself delete School Data. If non-payment continues, we may terminate the account as set out in Section 12, after which data handling follows Section 12.4.

5.4 Effect of suspension. During suspension, Administrators, staff, parents, and students may be unable to sign in or use Platform features. Online fee collection may also be paused.

5.5 Reinstatement. Access is normally restored after outstanding fees are paid, provided the account has not been terminated and the data not yet deleted.

6. The Platform and what it does

6.1 The Platform provides, depending on your plan and configuration, features for: student records and admissions; staff management; classes and subjects; attendance; results, assessments, and report cards; timetables; fee tracking and online fee collection; parent and student access; announcements; school branding; and general school administration.

6.2 We may add, change, or remove features over time to improve the Platform. We will not make a change that we reasonably consider materially reduces core functionality without notice.

6.3 Availability. We aim to keep the Platform available and working, but we do not offer a formal uptime or availability guarantee on the standard plans. The Platform is provided on the basis described in Section 10.

6.4 Backups. We take automated backups of Platform data every day and store them off-site, and we test that they can be restored. We do not, however, offer a contractual data-recovery time on the standard plans. The School should keep its own copies of data it considers critical and export important records regularly.

7. Acceptable use (summary)

7.1 You and your Authorised Users must use the Platform lawfully and only for legitimate school administration purposes. Full details are set out in our Acceptable Use Policy, which forms part of these Terms.

7.2 In summary, you must not:

  • use the Platform for any unlawful purpose or to store or share unlawful content;
  • upload content that infringes the rights of others;
  • share login credentials or allow unauthorised persons to access the Platform;
  • attempt to access another school's tenant, data, or subdomain, or to break tenant isolation;
  • attempt to probe, scan, or breach the security of the Platform;
  • interfere with or disrupt the Platform or the infrastructure it runs on;
  • misuse the personal data of children or any other person held on the Platform.

7.3 A breach of the Acceptable Use Policy may lead to suspension or termination under Section 12.

8. School Data, consent, and data roles

8.1 Ownership. As between the School and Anakalice, the School owns its School Data. We do not claim ownership of it.

8.2 Data roles. For personal data of students, parents or guardians, and staff that is processed on the Platform, the School is the data controller and Anakalice Digital is the data processor acting on the School's documented instructions. These roles are set out in detail in our Data Processing Agreement, which forms part of these Terms.

8.3 The School's responsibility for consent and lawful basis. The School is responsible for ensuring it has a lawful basis under the Nigeria Data Protection Act 2023 (NDPA) to collect and process the personal data it puts on the Platform. Because students are minors, the School is responsible for obtaining and recording parental or guardian consent where consent is the lawful basis relied upon, and for complying with all NDPA requirements relating to children's data.

8.4 Our use of School Data. We process School Data only to provide and support the Platform, as instructed by the School and as described in the Data Processing Agreement and Privacy Policy. We do not sell School Data.

8.5 Accuracy and content. The School is responsible for the accuracy, quality, and legality of the School Data it submits.

9. Online fee collection and the platform fee

9.1 How it works. The Platform lets parents or guardians pay a School's fees online. Online payments are processed by Paystack, our payment service provider. Each School connects its own settlement bank account by creating a Paystack subaccount.

9.2 Settlement to the School. The School is settled the full invoice amount for each fee it charges. We aim to pass settlement through promptly, but settlement timing is determined by Paystack and the banking system, and we do not guarantee a specific settlement timeframe.

9.3 Platform fee. Anakalice charges a configurable platform fee on online fee collection. The platform fee is currently 2% of the transaction. The platform fee is separate from, and in addition to, the School's subscription fee.

9.4 Who bears the card or gateway charge. The card or gateway processing charge is borne by the paying parent or guardian, not by the School. The School receives the full invoice amount; the parent pays the invoice amount plus the applicable processing charge.

9.5 Verification. Payments are verified with Paystack on our servers before an invoice is marked as paid. A payment that is not verified will not mark an invoice as paid.

9.6 The School's payment obligations to its community. The relationship over fees is between the School and the parents or guardians who pay. Anakalice is not a party to that relationship, does not set the School's fees, and is not responsible for the School's fee decisions, refunds to parents, or disputes between the School and its community. The School is responsible for its own fee policies and for complying with any laws that apply to collecting fees.

9.7 Payment provider terms. Use of online fee collection is also subject to Paystack's own terms. The School is responsible for meeting Paystack's requirements for the subaccount it connects, including any identity or verification requirements.

10. Disclaimers

10.1 To the fullest extent permitted by the laws of the Federal Republic of Nigeria, the Platform is provided "as is" and "as available". We do not warrant that the Platform will be uninterrupted, error free, or free of harmful components, or that it will meet every requirement of the School.

10.2 We take daily off-site backups of Platform data, but we do not provide a formal uptime guarantee or a contractual disaster-recovery commitment on the standard plans, and nothing in these Terms should be read as making one.

10.3 We are not responsible for the acts of parents, guardians, staff, or students, for decisions the School makes using the Platform, or for the accuracy of data the School enters.

10.4 Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under Nigerian law.

11. Limitation of liability

11.1 To the fullest extent permitted by Nigerian law, and except for liability that cannot lawfully be limited:

(a) neither party is liable for indirect, incidental, special, or consequential loss, or for loss of profit, revenue, goodwill, or anticipated savings, arising out of or in connection with these Terms or the Platform;

(b) our total aggregate liability to the School arising out of or in connection with these Terms and the Platform, in any twelve-month period, is limited to the total subscription fees paid by the School to Anakalice for the Platform in that twelve-month period.

11.2 These limitations apply whether the claim is based on contract, tort (including negligence), or any other legal theory, and even if a party has been advised of the possibility of the loss.

11.3 The School remains responsible for its own legal obligations as data controller, including obligations under the NDPA. Nothing in this Section shifts the School's controller obligations to Anakalice.

12. Suspension and termination

12.1 By the School. The School may choose not to renew at the end of any term, with no notice period required.

12.2 By Anakalice for cause. We may suspend or terminate access if the School materially breaches these Terms (including the Acceptable Use Policy), fails to pay fees when due, or uses the Platform in a way that creates legal risk or threatens the security or integrity of the Platform.

12.3 Notice. Except where immediate action is needed to protect the Platform, other schools, or any person, we will give reasonable notice and, where appropriate, an opportunity to remedy a breach before terminating.

12.4 Effect of termination and data. On termination, the School's access ends. We aim to make the School's data available for export for a reasonable period after termination before deletion, and to delete or return School Data in line with the Data Processing Agreement. After termination we keep the School's data available for export for at least 30 days, then delete or return it in line with the Data Processing Agreement. The School should export any data it wishes to keep before access ends.

13. Intellectual property

13.1 The Platform, including its software, design, branding, and documentation, is owned by Anakalice Digital or its licensors. These Terms do not transfer any ownership of the Platform to the School.

13.2 We grant the School a limited, non-exclusive, non-transferable right to access and use the Platform during a paid term, for the School's own administration, subject to these Terms.

13.3 School branding. The Platform lets the School display its own name, logo, and branding. The School keeps ownership of its own branding and grants us only the limited right to display and use it to provide the Platform to the School.

13.4 Feedback. If the School gives us feedback or suggestions, we may use them to improve the Platform without obligation to the School.

14. Refunds and cancellation

14.1 Subscription fees are charged per term. Except where required by law, subscription fees are non-refundable once a term has started, because the service is provided for the whole term.

14.2 If the School cancels during a term, access generally continues until the end of the term already paid for, and the subscription is simply not renewed for the next term.

14.3 Refunds relating to online fee payments made by parents (for example a parent overpayment or a disputed fee) are a matter between the School and the parent, and are handled by the School, not by Anakalice. We can assist with transaction records where reasonable.

15. Changes to these Terms

15.1 We may update these Terms from time to time. If we make a material change, we will give reasonable notice, for example by email to the Administrator or a notice on the Platform.

15.2 Continued use of the Platform after a change takes effect means the School accepts the updated Terms. If the School does not accept a change, it may choose not to renew.

16. Governing law and dispute resolution

16.1 These Terms are governed by the laws of the Federal Republic of Nigeria.

16.2 The courts of Nigeria have jurisdiction over any dispute arising out of or in connection with these Terms.

17. General

17.1 Entire agreement. These Terms, together with the Privacy Policy, Data Processing Agreement, and Acceptable Use Policy, form the entire agreement between the School and Anakalice regarding the Platform.

17.2 Order of precedence. If there is a conflict between these Terms and the Data Processing Agreement on a data-protection matter, the Data Processing Agreement prevails on that matter.

17.3 Severability. If any provision is found unenforceable, the rest remain in effect.

17.4 Assignment. The School may not assign these Terms without our consent. We may assign them to an affiliate or successor on notice.

17.5 No waiver. A failure to enforce a provision is not a waiver of it.
